By accessing, browsing, or otherwise using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms. By accessing or using the Platform, you represent and warrant that you are at least twentyone (21) years of age or of the legal age for cannabis consumption in your jurisdiction. You further represent and warrant that you have the full right, authority, and capacity to enter into this agreement and abide by all of its terms and conditions. If you are using the Platform on behalf of an entity, you represent and warrant that you are authorized to bind that entity to these Terms.

Use of the Platform

Permitted Use

You may access and use the Platform solely for lawful purposes and in accordance with these Terms. You agree not to:

Use the Platform for any fraudulent, illegal, or unauthorized purpose;

Modify, adapt, translate, reverse-engineer, decompile, or disassemble any portion of the Platform;

Harvest or collect information about other users without their consent;

Transmit any unauthorized advertisements, solicitations, spam, or any other form of unsolicited communication;

Engage in any conduct that restricts or inhibits another user’s use of the Platform.

Prohibited Use

We reserve the right to restrict, suspend, or terminate access to the Platform for users who
engage in:

Any activity that, in our sole discretion, violates applicable laws, regulations, or our
policies;

Unauthorized attempts to interfere with the security, functionality, or integrity of the
Platform;

Posting content that is defamatory, obscene, threatening, harassing, misleading, or
infringing on any intellectual property rights.

Dispensary Listings and Advertisements

Accuracy and Responsibility

Dispensaries listed on the Platform are solely responsible for ensuring the accuracy, legality, and completeness of their listings and advertisements.

Have A Nug^® does not endorse, verify, or guarantee any claims made by dispensaries or advertisers.

Paid Promotions

Have A Nug^® does not sell, distribute, or handle cannabis or cannabis-infused products. We do not promote or facilitate the direct purchase of cannabis. All product listings and redemptions are the responsibility of the participating business.

Dispensaries may purchase advertising or boosted listings subject to our Advertising Agreement.

All payments for advertisements are final, non-refundable, and subject to approval by Have A Nug^®.

Have A Nug^® reserves the right to remove any advertisement that violates applicable laws or these Terms.

User Accounts

Registration & Security

Users must provide accurate and up-to-date information during account creation.

You are solely responsible for maintaining the confidentiality of your account credentials and are liable for all activities under your account.

Account Suspension & Termination

Have A Nug^® reserves the right to suspend or terminate any account that violates these Terms, engages in fraudulent activities, or is otherwise deemed harmful to the Platform.

Users may terminate their accounts at any time by contacting customer support.

Transactions and Payments

Have A Nug^® facilitates the issuance of prepaid vouchers usable only at participating businesses. These vouchers are not discounts, promotions, or coupons. Whether they may be used to purchase cannabis or cannabis-related products is determined solely by the participating business in accordance with applicable state laws.

All transactions conducted on the Platform, whether for advertisements, promotions, or other services, are governed by our Payment Policy.

Have A Nug^® is not liable for transactions between users and dispensaries, including but not limited to refunds, product quality, or service fulfillment.

Users acknowledge that any financial transactions may be processed by third-party payment processors and agree to be bound by their respective terms and policies.

User-Generated Content & Reviews

Users may submit reviews, ratings, and other content provided that such content is truthful, non-defamatory, and does not violate the rights of any third party.

Have A Nug^® reserves the right to remove or moderate user-generated content that violates these Terms.

By posting content, users grant Have A Nug^® a non-exclusive, perpetual, irrevocable, royalty-free license to use, modify, reproduce, and distribute such content.

Intellectual Property Rights

The Platform, including its text, graphics, logos, and proprietary software, is the exclusive property of Have A Nug^® and is protected by copyright, trademark, and other intellectual property laws.

Users may not reproduce, modify, distribute, or create derivative works based on Platform content without prior written consent.

Privacy Policy

The collection, use, and disclosure of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.

Limitation of Liability

Have A Nug^® and its affiliates, directors, officers, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to:

The use or inability to use the Platform;

Any transactions between users and dispensaries;

Any inaccuracies, errors, or omissions in listings or advertisements;

Unauthorized access to or alteration of user data.

To the maximum extent permitted by law, our total liability to any user shall not exceed the amount paid by the user to Have A Nug^® within the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Have A Nug^®, its affiliates, and its officers, directors, employees, and agents from any claims, liabilities, damages, judgments, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your breach of these Terms;

Your use or misuse of the Platform;

Your violation of any third-party rights, including intellectual property or privacy rights.

Amendments to Terms

Have A Nug^® reserves the right to update, modify, or revise these Terms at any time in its sole discretion. Such modifications shall become effective upon posting.

Continued use of the Platform constitutes acceptance of the revised Terms.

Governing Law & Dispute Resolution
